Attendee Participation Agreement (Terms & Conditions) * TERMS AND CONDITIONS OF PARTICIPATING IN VIRTUAL EVENT
FlexMedStaff, LLC Participation Agreement
This Agreement (Agreement) is entered into by and between FlexMedStaff, LLC (Company)
and the physician (Physician) requesting access to FlexMedStaff Virtual Events such as Zooms and Webinars.
1. Representation and Accuracy:
FlexMedStaff, LLC makes no representations or warranties regarding the accuracy,
completeness, or usefulness of the content provided at these virtual events.
Physician agrees that FlexMedStaff, LLC shall not be held liable for any inaccurate
representations or misinterpretations of the content.
2. Intellectual Property and Non-Disclosure
All content provided during these Virtual Events including but not limited to text, graphics, images, and audio, is the intellectual property of FlexMedStaff, LLC. Physician agrees not to copy, distribute, modify, create derivative works, publicly display, publicly perform, transmit, or otherwise use the content for any commercial purpose without
the prior written consent of FlexMedStaff, LLC.
Unauthorized use, distribution, or reproduction of the content may result in legal action.
3. Limitation of Liability
FlexMedStaff, LLC shall not be held liable for any indirect, incidental, special, consequential, or
punitive damages, including but not limited to loss of profits, data, use, goodwill, or other
intangible losses, resulting from attending Virtual Events.
4. Indemnification
Physician agrees to indemnify, defend, and hold harmless FlexMedStaff, LLC from and against
any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys; fees and costs, arising out of or in any way connected with Physician’s breach of this Agreement or misuse of the content.
5. Termination
FlexMedStaff, LLC reserves the right to terminate Physician’s access to Virtual Events at any time for any reason, including but not limited to Physician’s breach of this Agreement.
6. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the state of Florida in which FlexMedStaff, LLC is headquartered, without regard to its conflict of law
principles.
7. Entire Agreement
This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and
discussions, whether oral or written, between the parties.
8. Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining
provisions shall continue in full force and effect.
9. Access to Virtual Events:
Physicians will be provided with links and codes to access Virtual Events through the interent. Physcians shall not distribute this information to other individuals for any reasons. Distribution of this information will be prosecuted.
