TERMS AND CONDITIONS OF EARNING CME CREDIT FROM FlexMedStaff, LLC

FlexMedStaff, LLC CME Agreement

This Agreement (“Agreement”) is entered into by and between FlexMedStaff, LLC (“Company”) and the physician (“Physician”) purchasing CME credits for the purpose of accessing and completing 30 Continuing Medical Education (CME) credits through video recordings provided by FlexMedStaff, LLC.

1. Access to CME Credits
Company agrees to provide Physician with access to video recordings that offer 30 CME credits upon successful completion. Physicians will have 60 days to view all recordings and earn 30 hours of CME. Access to the CME content will NOT be available after 60 days. Access to video recordings associated with this CME package is for Physicians ONLY.

2. Physician’s Responsibilities
Physician acknowledges and agrees that it is their sole responsibility to view the video recordings in their entirety to earn CME credits.
Physician must attest to having fully viewed the recordings to receive CME credits. FlexMedStaff, LLC is not responsible for any failure by the Physician to view the recordings and any consequences or retaliation that may result from such failure.

3. Representation and Accuracy
FlexMedStaff, LLC makes no representations or warranties regarding the accuracy, completeness, or usefulness of the content provided in the video recordings.
Physician agrees that FlexMedStaff, LLC shall not be held liable for any inaccurate representations or misinterpretations of the content.

4. Intellectual Property and Non-Disclosure
All content provided in the video recordings, including but not limited to text, graphics, images, and audio, is the intellectual property of FlexMedStaff, LLC.
Physician agrees not to copy, distribute, modify, create derivative works, publicly display, publicly perform, transmit, or otherwise use the content for any commercial purpose without the prior written consent of FlexMedStaff, LLC.
Unauthorized use, distribution, or reproduction of the content may result in legal action.

5. Limitation of Liability
FlexMedStaff, LLC shall not be held liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from Physician’s use of the video recordings or any related services.

6. Indemnification
Physician agrees to indemnify, defend, and hold harmless FlexMedStaff, LLC from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees and costs, arising out of or in any way connected with Physician’s breach of this Agreement or misuse of the content.

7. Termination
FlexMedStaff, LLC reserves the right to terminate Physician’s access to the video recordings at any time for any reason, including but not limited to Physician’s breach of this Agreement.

8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the state of Florida in which FlexMedStaff, LLC is headquartered, without regard to its conflict of law principles.

9. Entire Agreement
This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, between the parties.

10. Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

11. Fees and Refunds
Physicians will be charged $499 for access to 30 hours of CME. Once the payment is processed, there are NO refunds. If any non-physician individual pays for access, there will be NO refunds.
