TERMS AND CONDITIONS OF PARTICIPATING IN VIRTUAL EVENT

FlexMedStaff, LLC Participation Agreement

This Agreement (Agreement) is entered into by and between FlexMedStaff, LLC (Company)
and the physician (Physician) purchasing access to the FlexMedStaff Virtual Event offered
through Zoom on November 1, 20024 to November 4, 2024.

1. Access to Virtual Event and CME Credits
Company agrees to provide Physician with access to the virtual event for educational purposes.
Upon completion of the virtual event Physicians can earn 10 CME credits upon attesting to
viewed lectures. Access to video recordings associated with this CME package is for Physicians
ONLY.

2. Physician's Responsibilities
Physician acknowledges and agrees that it is their sole responsibility to view all lectures
connected with the event to earn CME credits. The Physician can either watch the event live or
view the video recordings to all lectures in their entirety.
Physician must attest to having fully viewed all lectures to receive CME credits. FlexMedStaff,
LLC is not responsible for any failure by the Physician to view the lectures and recordings and
any consequences or retaliation that may result from such failure.

3. Representation and Accuracy
FlexMedStaff, LLC makes no representations or warranties regarding the accuracy,
completeness, or usefulness of the content provided in the video recordings.
Physician agrees that FlexMedStaff, LLC shall not be held liable for any inaccurate
representations or misinterpretations of the content.

4. Intellectual Property and Non-Disclosure
All content provided in lectures associated with the event or in the video recordings, including
but not limited to text, graphics, images, and audio, is the intellectual property of FlexMedStaff,
LLC. Physician agrees not to copy, distribute, modify, create derivative works, publicly display,
publicly perform, transmit, or otherwise use the content for any commercial purpose without
the prior written consent of FlexMedStaff, LLC.
Unauthorized use, distribution, or reproduction of the content may result in legal action.

5. Limitation of Liability
FlexMedStaff, LLC shall not be held liable for any indirect, incidental, special, consequential, or
punitive damages, including but not limited to loss of profits, data, use, goodwill, or other
intangible losses, resulting from Physician use of the video recordings or any related services.

6. Indemnification
Physician agrees to indemnify, defend, and hold harmless FlexMedStaff, LLC from and against
any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys;

fees and costs, arising out of or in any way connected with Physician’s breach of this Agreement or misuse of the content.

7. Termination
FlexMedStaff, LLC reserves the right to terminate Physician’s access to the lectures or video
recordings at any time for any reason, including but not limited to Physician’s breach of this
Agreement.

8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the state of Florida in which FlexMedStaff, LLC is headquartered, without regard to its conflict of law
principles.

9. Entire Agreement
This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and
discussions, whether oral or written, between the parties.

10. Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining
provisions shall continue in full force and effect.

11. Fees and Refunds
Physicians will be charged $199 for access to the virtual event which will include the ability to
earn 10 hours of CME. Once the payment is processed, there are NO refunds. If any non-
physician individual pays for access, there will be NO refunds.
